Adaptec Plans to Spin Off Software Business Unit

MILPITAS, June 8, 2000 - Adaptec, Inc. (NASDAQ: ADPT), today announced that it plans to spin off its software business unit in the form of a fully independent and separate company. This action will allow both companies to execute on independent strategies and have greater focus on their respective opportunities.

The software business unit develops and markets industry-leading software products including Easy-CD Creator, Toast, WinOnCD and GoBack.

Adaptec anticipates that an initial public offering (IPO) of approximately 15% of the Software Company's common stock should be completed by the end of this year. Management's intention is to distribute the remaining shares in a tax-free distribution to Adaptec shareholders, pending regulatory approval and receipt of a tax-free letter ruling from the IRS.
